Terms & Conditions

A legal disclaimer. Last Update: November 1, 2026

Cuitla Professional Services operates the site (cleaning.cuitlaproservices.com) to provide services including ().

Cuitla Professional Services is committed to protecting its Clients, Staff, Crew Members, and Subcontractors. These Terms and Conditions outline what is expected and what must be followed.  By the Client signing the Service Agreement and/or continuing to use our services, they agree to the following:

Section 1. Agreement & Nature of Business

1.1 Binding Agreement

By scheduling a service, paying an invoice, signing an estimate, service agreement, contract, or permitting personnel from Cuitla Cleaning Service ("Company", "we", "us", or "our") onto the premises, the customer ("Client", "you", "your") agrees to be legally bound by these Terms and Conditions.

1.2 Independent Service Contractor

The Company is an independent service contractor. Nothing in this Agreement shall be construed to create an employer-employee, agency, partnership, or joint venture relationship between the Client and the Company or any of the Company's personnel or subcontractors.

1.3 Specialization: Cleaning vs. Housekeeping

The Company operates exclusively as a sanitation and deep-cleaning business. Our services sanitize, wash, scour, vacuum, dust, and detail surfaces according to our standard checklist or a mutually agreed scope of work. The Company is explicitly not a maid, personal housekeeping, organizing, or personal assistant service.

1.4 Excluded Task (Non-Standard Services)

Unless contracted in advance under a separate, itemized, and written addendum with adjusted pricing, our personnel are instructed not to perform any of the following tasks:

  • Tidying personal items, putting away loose clothing, gathering children's toys, or sorting paperwork.

  • Washing, drying, folding, or ironing personal laundry.

  • Washing sinks full of built-up dishes, emptying kitchen food storage containers, or deep-cleaning the dishwasher.

  • Organizing the internal contents of cabinets, pantries, drawers, or closets.

  • Pet sitting, walking, handling pet food, cleaning pet cages/aquariums, or scooping litter boxes.

  • Childcare, babysitting, answering doors, accepting personal packages, or running errands.

1.5 Client Preparation Responsibilities

To maximize cleaning quality and efficiency:

  • Clients must ensure horizontal surfaces (floors, countertops, dining tables, desks) are free of excessive clutter, loose garments, and personal effects before the crew arrives.

  • If an area or surface is heavily obstructed by personal clutter, our staff or crew members are directed to clean around the obstruction or omit that specific surface.

  • No fee reduction, credit, or partial refund will be granted for areas omitted due to client clutter.

Section 2: Scheduling, Access & Entry

2.1 Arrival Windows

Because traffic conditions, inclement weather, and unexpected requirements on prior jobs can impact transit, the Company does not provide fixed, exact-minute arrival times. All bookings are scheduled within a 2-hour arrival window. We will make reasonable commercial efforts to communicate via SMS (Text Message) or email if a crew is running ahead of or behind schedule.

2.2 Access Credentials & Key Handling

The Client is solely responsible for arranging reliable, unaccompanied access to the premises during the scheduled window via one of the following approved methods:

  • An on-site secure lockbox or physical key safe;

  • A functional, battery-powered electronic keypad lock code;

  • Authorization left with building concierge, front desk, or security gate; or

  • Personal attendance by the Client or an authorized adult representative.

Key Liability Waiver: If physical keys are entrusted to the Company for recurring services, keys are tagged with an anonymous numeric code (never the Client's address or name) and kept locked when not in use. While reasonable care is taken, the Company is not liable for lock replacement costs in the event of unforeseen key misplacement, lock mechanical failure, or third-party theft beyond our control.

2.3 Lockout and Denied Entry

If our team arrives at the property within the designated arrival window and is unable to gain access within twenty (20) minutes (whether due to a non-functional code, missing key, unnotified gate refusal, or absence of the Client), the visit will be classified as a Client Lockout. In such cases:

  • The cleaning team will vacate the site to maintain the day's schedule for other clients; and

  • The Client's payment method on file will be charged a Lockout Fee equal to (100% of the scheduled service total / a minimum $100 trip fee) to cover lost labor time, dispatch, and transit overhead.

2.4 Essential Utilities Requirement

The Client must provide safe, continuous access to working electricity, adequate interior lighting, and operational hot and cold running water on the service date.

  • If utilities are disconnected or deactivated upon arrival, our crew is prohibited by safety and hygiene regulations from cleaning.

  • The job will be canceled on-site, and the Client will be assessed the full Lockout/Late-Cancellation Fee.

Section 3: Pricing, Payment & Billing

3.1 Rate Structure & Heavy-Soil Adjustments

Service quotes are based on the square footage, number of rooms, and property condition the Client provides during booking or, if viewed in person, the crew determines.

  • If, upon arrival, our team discovers that the property's actual condition substantially diverges from standard cleanliness (ex., hoarding, conditions, heavy post-construction residue, excessive mold or grime, pest remnants), the Company reserves the right to adjust the price or hourly allocation.

  • The crew will pause and contact the Client for authorization of additional hours/fees before proceeding. If the Client declines the adjustment, the team will clean only up to the originally contracted time/scope, or cancel the job subject to our same-day cancellation fee.

3.2 Payment Terms & Automatic Charging

  • Payment Method on File: A valid credit or debit card must be maintained on file at all times through our secure merchant processor.

  • Authorization Holds: The Company reserves the right to place a pre-authorization hold on the Client's payment card 24 to 72 hours prior to the scheduled service appointment.

  • Settlement: The full balance is charged automatically upon job completion or within twenty-four (24) hours of the service date.

3.3 Overdue Balances & Collection Fees

Invoices unpaid after five (5) business days will incur a late finance charge of $30 or the maximum rate permissible by law, whichever is lower.

  • Any chargeback, disputed charge, or returned check will incur an administrative handling fee of $250.

  • The Client agrees to pay all reasonable attorney's fees, court costs, and collection agency commissions the Company incurs while recovering delinquent balances.

3.4 Periodic Price Revisions

For recurring subscription services, the Company reserves the right to review and adjust rates periodically to account for inflation, wage mandates, and the cost of operations. The Company will provide a minimum of thirty (30) calendar days' written notice before any adjusted rates take effect.

Section 4: Cancellations, Rescheduling & Lockouts

4.1 Standard Notice Window

We allocate dedicated staff hours and reject alternative bookings for your reserved slot. Therefore, any request to cancel, reschedule, or skip an appointment must be received in writing (via email, SMS [Text Message], or client portal [Square Appointment Portal]) at least 48 hours prior to the start of the schedule arrivial window.

4.2 Cancellation Fee Schedule

  • Notice of 48+ Hours: No fee or penalty; any deposit is transferred to the reschedule appointment.

  • Notice of 24 to 48 Hours: A Late Rescheduling Fee of $30 will be applied.

  • Notice Under 24 Hours / Same-Day Cancellation: The client will be billed 100% of the Scheduled service total.

4.3 Consecutive Skips on Recurring Accounts

If a Client on a discounted recurring schedule (ex., weekly, bi-weekly, monthly) skips two (2) or more consecutive appointments, the Company reserves the right to reclassify the subsequent clean as a One-Time / Deep Clean and bill the standard one-time rate to account for accumulated dust and soil buildup.

4.4 Weather, Safety & Force Majeure

The Company reserves the right to cancel or reschedule appointments without liability when conditions beyond our control threaten staff safety (including, but not limited to, blizzards, black ice, localized flooding, severe storms, mandatory evacuation orders, or pandemic restrictions). In such events, the Company will notify the Client as quickly as reasonably possible and priorize rescheduling the visit.

Section 5: Safe Workplace, Client Conduct & Termination

5.1 Commitment to Workplace Safety

The Company is dedicated to maintaining a working environment free from harassment, violence, intimidation, and hazardous conditions. Because our technicians work on private premises, we maintain an uncompromising zero-tolerance policy for threats to their physical or psychological safety.

5.2 Prohibited Behaviors and Environmental Hazards

The following actions, behaviors, and site conditions are strictly prohibited:

  • Abuse & Harassment: Shouting, cursing, personal insults, discriminatory language, sexual propositions, improper physical contact, or indecent exposure/dress.

  • Intoxication: The active use of illicit substances or open, disruptive alcohol intoxication on site while technicians are present.

  • Weapons: Unsecured, exposed firearms, ammunition, or edged weapons. Any weapons on premises must be unloaded, locked in a safe, and kept out of view.

  • Unrestrained Animals: Aggressive, loud, or unrestrained animals. All pets (except certified service animals that display non-aggressive behavior) must be secured in a crate, separate room, or off-site during the entire service.

  • Biohazards & Pests: Undisclosed human or animal excrement, urine, vomit, medical waste, needles/syringes, toxic chemical mold, or active infestations of bedbugs, fleas, roaches, or rodents.

  • Hostile Monitoring: Stalking, shadowing staff or crew members closely in a menacing or aggressive manner, or barricading access doors.

5.3 Immediate Right to Vacate (Staff or Crew Members Discretion)

  • If a technician or crew member encounters any behavior, threat, or environmental hazard outlined in Section 5.2, Company policy authorizes and instructs them to pack their equipment, supplies, & tools, immediately exit the property, and relocate to a secure area.

  • Staff or Crew Members are under no obligation to negotiate, de-escalate, or remain in an uncomfortable or dangerous setting.

5.4 Termination for Cause and Financial Forfeiture

  • If a service visit is aborted pursuant to Section 5.3, the company will terminate the client relationship immediately for cause.

  • The Client will be billed 100% of the scheduled visit fee, and any prepaid amounts or deposits will be forfeited in full to offset reserved crew wages, dispatch overhead, and administrative time.

  • The company accepts zero liability for any unfinished cleaning tasks, inconvenience, or consequential damages resulting from an emergency walkout triggered by the client's conduct or site hazards.

Section 6: Damage, Breakage & Limitations of Libility

6.1 Damage Notification Window

The Client must inspect the premises promptly upon completion of the service. In the rare event of accidental damage or breakage caused by our staff, the Client must report the incident to Company management in writing, accompanied by clear digital photographic evidence, within twenty-four (24) hours of the service completion time. Reports made after 24 hours will not be honored, as third-party access cannot be ruled out.

6.2 Valuation and Remedy

For verified damage directly caused by the Company's negligence:

  • The company reserves the right to inspect the item, attempt a professional repair, or provide a replacement.

  • Reimbursement or replacement is strictly based on the Actual Cash Value (depreciated market value) of the damaged article, not its original retail price or sentimental value.

6.3 Non-Standard, Fragile, and Excluded Items (Absolute Waiver)

The Company is not liable for loss or damage to:

  • Unstable/Improperly Installed Items: Items improperly secured to walls (such as heavy mirrors, floating shelves, chandeliers, picture frames hung with adhesive strips instead of stud anchors), unstable curtain rods, or wobbly furniture.

  • Heirlooms, Antiques & Fine Arts: Valuables of extreme monetary, sentimental, or historical value, including fine arts, sculpture, rare antiques, jewelry, cash, and collector's items. Clients must store these items under lock and key or explicitly instruct the Company in writing not to touch them.

  • Pre-existing Wear and Tear: Degrading grout, calcified glass shower doors, loose veneer, warped laminate, sun-bleached finishes, or wood that chips during normal wiping.

  • Client-Supplied Products/Machinery: Any surface discoloration, etching, or damage resulting from the Company using chemicals, equipment, or vacuum cleaners supplied or mandated by the Client.

6.4 Cap on Liability

To the maximum extent permitted by applicable law, the Company's cumulative, aggregate liability for all claims of any kind (whether arising in contract, tort, strict liability, or negligence) arising out of or related to this Agreement or any cleaning service provided shall not exceed the lesser of: (a) the total amount paid by the Client to the Company for the single service visit giving rise to the claim, or (b) five hundred US dollars ($500.00). Under no circumstances shall the Company be liable for indirect, incidental, punitive, or consequential damages.

Section 7: Non-Solicitation of Personnel (Poaching Clause)

7.1 Restrictive Covenant

The Company invests substantial resources in vetting, screening, background-checking, and training its cleaning staff and crew members, and in maintaining commercial insurance and bonding. The Client explicitly agrees not to directly or indirectly solicit, recruit, hire, employ, or contract with any employee, staff, crew members, or subcontractor introduced to the Client by the Company for domestic, custodial, or personal services, outside of this agreement.

7.2 Duration of Restriction

This non-solicitation restriction shall remain in full force and effect during the active term of this Agreement and for a period of twelve (12) consecutive months following the termination or cancellation of the Client's services with the Company for any reason.

7.3 Liquidated Damages / Placement Referral Fee

  • The Client acknowledges that a breach of this Section causes severe, irreparable financial harm to the Company that is difficult to quantify precisely.

  • Accordingly, if the Client breaches this covenant by hiring, engaging, or directly compensating any current or former staff or crew members of the Company within the 12-month restricted period, the Client agrees to pay the Company an immediate, non-negotiable liquidated damages fee of $3,500.00 per person.

  • Both parties agree that this fee is a reasonable estimate of the Company's actual recruitment, screening, onboarding, and training costs and represents an agreed referral placement fee rather than a penalty. The Company reserves the right to pursue all additional injunctive relief and recover reasonable attorney's fees incurred in enforcing this provision.

Section 8: General Legal Provisions

8.1 Governing Law and Dispute Resolution

This Agreement, and all claims or causes of action arising out of it, shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict-of-law principles. Any legal suit, action, or proceeding arising out of this Agreement shall be instituted exclusively in the small claims courts or state courts located in Newberry County, South Carolina.

8.2 Severability

If any provision, clause, or paragraph of this Agreement is held to be invalid, illegal, or unenforceable by an arbitrator or court of competent jurisdiction, that specific provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect.

8.3 Entire Agreement

These Terms and Conditions, together with any written estimates, invoices, or service tier checklists issued by the Company, constitute the entire agreement between the parties regarding the subject matter hereof and supersede all prior discussions, representations, or oral statements.

8.3 Entire Agreement

The Company reserves the right to update or modify these Terms and Conditions at any time. Updated versions will be posted on the Company's website, sent via email, or reflected on customer invoice links. Continued use of the Company's services following the posting or communication of updated terms constitutes binding acceptance of those changes.
